Client Responsibilities

Intellectual Property

Unless otherwise specified in a written agreement, Nexgenex Labs retains ownership of proprietary methodologies, frameworks, development tools, internal libraries, trade secrets, trademarks, branding assets, and intellectual property used in delivering services.

Ownership of client-specific deliverables may transfer upon full payment and according to the executed service agreement.

Payment Terms

• Invoices must be paid within agreed contractual timelines.
• Late payments may incur additional charges.
• Project milestones may be paused for overdue accounts.
• Taxes, duties, and government charges remain client responsibility.
• Deposits and retainers may be non-refundable unless otherwise agreed.

Confidentiality

Both parties agree to maintain the confidentiality of proprietary, technical, commercial, and operational information disclosed during the course of engagement.

Confidential information shall not be disclosed to third parties without prior written consent unless required by law.

Data Protection & Security

Nexgenex Labs follows industry-recognized security practices including encryption, secure infrastructure management, access control, monitoring, and security-focused software development processes.

While commercially reasonable measures are implemented, no technology environment can guarantee absolute security.

Acceptable Use Policy

Users may not:

• Engage in unlawful activity.
• Attempt unauthorized access to systems.
• Distribute malware or malicious code.
• Interfere with platform availability.
• Violate intellectual property rights.
• Use services for fraudulent purposes.

Third-Party Services

Our services may integrate with third-party platforms, APIs, cloud providers, hosting providers, payment processors, analytics services, and software tools. Nexgenex Labs is not responsible for the policies, availability, or actions of such third parties.
